The Memorandum of Association has the names and signatures of the subscribers who are going to be a part of the company and it also presents a blue print of company's proposed structure. It also describes the rules and regulations of the operation of the company.
Articles of Association
The Articles of Association is a very important document that is to be submitted to the Registrar. This document explains about the internal skeletal structures of the company and its operation.
Registration fees payment
The details about the registration fees are mentioned in the Memorandum, and accordingly, it has to be paid to the Registrar.
Certificate of incorporation (issued by the ROC)
This is the last step for Registration of the Company, and therefore, all the more significant. After the payment of the registration fees, the certificate of incorporation has to be obtained from the ROC.

The share certificates are important in case of a public limited company which issues shares to the public. These certificates represent the company partly. The seal presents the signature including name of the company in a circular design.
